1. Introduction

These Terms and Conditions ("Terms") govern your use of the Bristol Design website and services offered by Bristol Design ("we," "us," or "our").

By accessing our website or using our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our website or services.

2. Services

Bristol Design provides brand design, web design, UX design, and development services. The specific details, deliverables, timelines, and fees for our services will be set out in a separate service agreement or statement of work agreed between us and the client.

We reserve the right to modify, suspend, or discontinue any part of our services at any time without notice.

3. Client Responsibilities

When engaging our services, you agree to:

  • Provide accurate and complete information as required for the delivery of services
  • Respond to communications and provide feedback in a timely manner
  • Review and approve deliverables according to agreed timelines
  • Make payments according to the agreed payment schedule
  • Obtain any necessary permissions or rights for materials provided to us

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, including but not limited to logos, designs, text, graphics, images, software, and code, on our website is the property of Bristol Design or our content suppliers and is protected by UK and international copyright and intellectual property laws.

4.2 Client Materials

You retain ownership of any materials you provide to us for the purpose of delivering our services. By providing such materials, you grant us a non-exclusive license to use, reproduce, and modify them solely for the purpose of providing our services to you.

4.3 Deliverables

Unless explicitly agreed otherwise in writing, upon full payment of all fees due:

  • We will assign to you all intellectual property rights in the final deliverables specifically created for you
  • We retain ownership of any pre-existing materials, tools, or methodologies used in creating the deliverables
  • We reserve the right to display and link to your completed project as part of our portfolio and to write about the project on websites, in magazine articles, and in books about design

5. Payment Terms

Our payment terms are as follows:

  • A deposit of 50% of the project fee is required before work commences
  • The remaining balance is due upon completion of the project before files are delivered
  • For ongoing services, monthly payments may be arranged
  • Payment must be made within 14 days of the invoice date
  • Late payments may incur interest at the rate of 8% plus the Bank of England base rate per annum, as permitted under the Late Payment of Commercial Debts (Interest) Act 1998

6. Cancellation and Termination

Either party may terminate the service agreement with written notice if:

  • The other party breaches a material term of these Terms or the service agreement
  • The other party becomes insolvent or enters into liquidation

If you cancel a project after work has commenced:

  • The deposit is non-refundable
  • You will be invoiced for any work completed beyond the value of the deposit
  • Any materials or deliverables produced up to the point of cancellation will be provided upon full payment of outstanding invoices

7. Limitation of Liability

To the maximum extent permitted by law:

  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to these Terms or your use of our services
  • Our total liability to you for all claims arising under or relating to these Terms or our services shall not exceed the amount paid by you to us for the services giving rise to the claim
  • Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, or fraud or fraudulent misrepresentation

8. Indemnification

You agree to indemnify, defend, and hold harmless Bristol Design and our directors, officers, employees, and agents from and against all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees) arising from:

  • Your use of our website or services
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your content or materials provided to us that infringe upon the intellectual property rights or other rights of third parties

9. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the services, including but not limited to business plans, customer information, and proprietary technology.

This confidentiality obligation shall survive the termination of our services for a period of two years.

10. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of these Terms.

Your continued use of our website or services after such changes constitutes your acceptance of the new Terms.
